Terms and Conditions

Finoptiz > Terms and Conditions

Introduction

These Terms and Conditions explain the rules that apply when you visit finoptiz.com, communicate with Finoptiz, request a proposal, purchase a service, or engage us for a project.

In these Terms, “Finoptiz,” “we,” “our,” and “us” refer to Finoptiz, while “client,” “you,” and “your” refer to the individual, business, or organization using our website or services.

By accessing our website or confirming a project with us, you agree to follow these Terms. If a separate proposal, quotation, agreement, or statement of work applies to your project, that document will also form part of your agreement with Finoptiz.

1. Our Services

Finoptiz provides digital, creative, marketing, development, branding, and consulting services.

Depending on the project, our services may include:

  • Website design and development
  • UI/UX design
  • Personal branding
  • Digital marketing
  • Social media marketing
  • Search engine optimization
  • Performance marketing
  • Paid advertising management
  • Content creation
  • Graphic design
  • Video production
  • Video editing
  • Motion graphics
  • Brand collateral
  • Campaign planning and execution
  • Brand activations
  • Digital strategy
  • Marketing consulting
  • Business consulting
  • Automation solutions
  • Other related creative or technology services

The exact services included in a client engagement will be defined separately in the relevant quotation, proposal, invoice, service agreement, or written project confirmation.

2. Using Our Website

You may use the Finoptiz website for legitimate informational and business purposes.

You agree not to use the website in any way that could:

  • Violate applicable law
  • Damage or interfere with website operation
  • Introduce malware, viruses, or harmful code
  • Attempt to gain unauthorized system access
  • Circumvent website security measures
  • Misrepresent your identity
  • Submit fraudulent or misleading information
  • Infringe intellectual property rights
  • Harass, threaten, or harm another person
  • Collect website data through unauthorized methods

We may restrict or block access when we reasonably believe the website is being misused.

3. Enquiries Do Not Automatically Create a Contract

You may contact Finoptiz through our website, phone, email, WhatsApp, social media, or other communication channels.

Sending an enquiry or speaking with our team does not automatically mean that Finoptiz has accepted your project.

A project is generally considered confirmed after the relevant commercial terms, scope, payment structure, and expected deliverables have been agreed and any required advance payment has been received.

We may accept or decline project requests based on availability, requirements, suitability, resources, legal considerations, or other legitimate business reasons.

4. Defining the Project Scope

Every project is based on an agreed scope.

The scope may be documented through:

  • A quotation
  • Proposal
  • Project brief
  • Statement of work
  • Contract
  • Invoice
  • Email confirmation
  • Other written project communication

Only services and deliverables specifically agreed upon will be considered part of the project.

Work requested after confirmation may fall outside the original scope.

Additional requirements can include:

  • Additional website pages
  • New functionality
  • Additional design concepts
  • New integrations
  • Additional campaigns
  • More videos or creatives
  • Substantial content changes
  • Additional revisions
  • Changes to previously approved work

Where extra work is required, Finoptiz may revise the cost and timeline before proceeding.

5. Information and Materials Required From Clients

To complete projects efficiently, clients may need to provide relevant information and resources.

These can include:

  • Business details
  • Project requirements
  • Logos
  • Brand guidelines
  • Images
  • Videos
  • Written content
  • Product or service information
  • Website credentials
  • Hosting details
  • Domain access
  • Advertising account access
  • Analytics access
  • Social media access
  • Approvals
  • Feedback

Clients should ensure that all information provided is accurate and that they have permission to use any materials supplied to Finoptiz.

If required information, access, approvals, or feedback are delayed, the delivery date may also be affected.

6. Quotations

Our quotations are prepared using the information available when the quotation is issued.

Unless specifically mentioned, a quotation does not automatically include external expenses such as:

  • Domain registration
  • Web hosting
  • Paid plugins
  • Premium themes
  • Software subscriptions
  • APIs
  • Stock photographs
  • Stock video
  • Music licences
  • Advertising spend
  • Printing
  • Production costs
  • Travel expenses
  • Influencer charges
  • Third-party platform fees

If the scope changes significantly after a quotation is provided, Finoptiz may issue revised pricing.

7. Payment Conditions

Each project may follow a different payment schedule.

Depending on the service, payment arrangements may include:

  • An upfront amount
  • Milestone payments
  • Monthly retainers
  • Recurring fees
  • Final payment before launch or delivery
  • Charges for additional work

The payment structure applicable to your project will be communicated through the relevant quotation, proposal, invoice, or agreement.

Payments must be made within the agreed timeframe.

If an invoice remains unpaid, Finoptiz may temporarily pause work, delay delivery, postpone a launch, suspend ongoing services, or retain final deliverables until the outstanding amount is settled.

8. Advance Payments

Some projects require an advance before work begins.

Advance payments may be used to:

  • Reserve team availability
  • Begin research
  • Allocate project resources
  • Start design work
  • Begin development
  • Schedule production
  • Purchase approved project resources

Where a project is cancelled after work has started, the advance payment may be adjusted against completed work and committed costs.

Refund eligibility will depend on the individual project terms and applicable refund conditions.

9. Taxes and Government Charges

Unless stated otherwise, quoted amounts may not include applicable taxes.

GST and any other legally applicable tax, levy, or government charge may be added where required.

Clients are responsible for paying amounts properly charged under applicable law.

10. Delivery Timelines

Finoptiz aims to complete projects within the timeframe communicated to the client.

However, project schedules depend on several factors, including:

  • Complexity of the work
  • Finalized project scope
  • Availability of content
  • Client feedback
  • Client approvals
  • Third-party services
  • Technical dependencies
  • Additional revision requests

A timeline may therefore be extended if circumstances affecting project delivery arise.

Estimated dates should not be interpreted as an absolute guarantee unless a specific deadline has been formally agreed in writing.

11. Delays Caused by Client Inactivity

Projects depend on active communication between both parties.

If the client does not provide requested information, approvals, content, credentials, payment, or feedback within a reasonable period, Finoptiz may place the project on hold.

When the client returns, work may be rescheduled according to current team availability.

A long period of inactivity may also require the timeline, pricing, or scope to be reviewed again.

12. Revision Requests

The number of revisions included in a project may vary and should be confirmed in the project proposal or quotation.

A revision normally means a reasonable adjustment to work already created within the approved direction.

Requests that substantially change the project may be treated as new work.

Examples include:

  • Completely changing the design direction
  • Replacing an approved concept
  • Adding new functionality
  • Adding additional pages
  • Producing new content
  • Rebuilding completed sections
  • Introducing new deliverables

Additional work may require extra charges and additional time.

13. Client Approval

During a project, Finoptiz may ask the client to approve different stages.

These may include:

  • Concepts
  • Designs
  • Scripts
  • Content
  • Wireframes
  • Campaign ideas
  • Website layouts
  • Development stages
  • Videos
  • Advertisements
  • Final deliverables

Once a stage is approved, major changes requested afterward may require additional time and fees.

Before giving final approval, clients should verify information such as:

  • Names
  • Phone numbers
  • Email addresses
  • Prices
  • Product details
  • Offers
  • Addresses
  • Claims
  • Legal information
  • Spelling and grammar

Finoptiz is not responsible for client-approved factual information that later proves to be incorrect.

14. Website Development Projects

Website services may involve work such as:

  • Planning
  • UI/UX
  • Responsive design
  • Front-end development
  • Back-end development
  • CMS implementation
  • Forms
  • Content integration
  • API integration
  • Testing
  • Performance improvements
  • Analytics installation
  • Deployment

Only functionality specifically included in the approved scope is part of the project.

Additional features requested later may be quoted separately.

Website performance can also depend on browsers, devices, hosting environments, third-party software, APIs, plugins, internet conditions, and external services.

Finoptiz cannot guarantee the uninterrupted operation of systems controlled by external providers.

15. Domain and Hosting Services

Where required, domain names, hosting, SSL certificates, email hosting, or cloud infrastructure may be purchased directly by the client or arranged through Finoptiz.

Unless the project agreement states otherwise:

  • Renewal charges are separate
  • Clients are responsible for timely renewal
  • Third-party providers may revise pricing
  • Expired services caused by missed renewals are outside our control

Where Finoptiz manages hosting or related services, separate maintenance or management fees may apply.

16. External Tools and Platforms

Our work may involve third-party technology such as:

  • Content management systems
  • Plugins
  • APIs
  • Hosting platforms
  • Payment gateways
  • CRM software
  • Email tools
  • Analytics systems
  • Advertising networks
  • Social media platforms
  • Cloud services
  • AI-powered tools
  • Licensed creative resources

Finoptiz does not own or control these third-party services.

Their availability, pricing, policies, functionality, compatibility, and technical support may change without notice.

If a third-party change creates additional development or maintenance requirements, that work may be separately chargeable.

17. Digital Marketing Engagements

Our digital marketing services may include SEO, paid advertising, content marketing, social media, campaign management, creative development, and related activities.

Finoptiz applies professional strategies based on the available information, agreed budget, project objectives, and market conditions.

However, marketing outcomes depend on many factors outside the control of any agency.

18. Marketing Results Are Not Guaranteed

Finoptiz cannot promise an exact business outcome from marketing activities.

For example, we do not guarantee a specific:

  • Number of leads
  • Number of sales
  • Revenue amount
  • ROI
  • Search ranking
  • Website traffic level
  • Social media follower count
  • Engagement rate
  • Conversion rate
  • Cost per lead
  • Campaign reach

Results can be influenced by factors such as competition, budget, industry demand, seasonality, customer behaviour, pricing, website quality, platform algorithms, sales processes, and market changes.

Any projection or estimate should therefore be treated as a target or planning reference rather than a guaranteed result.

19. SEO Services

Search engine optimization is an ongoing process.

Search engines independently decide:

  • Which pages they index
  • How pages are ranked
  • Which ranking factors are used
  • When algorithms are changed

For this reason, Finoptiz cannot guarantee:

  • First-position rankings
  • First-page placement
  • Permanent rankings
  • A fixed ranking timeframe
  • A specific level of organic traffic

SEO performance may increase, decrease, or fluctuate over time.

20. Paid Campaign Management

When Finoptiz manages paid advertising, media spend paid to platforms is normally separate from our professional management fee unless the proposal specifically states otherwise.

Advertising platforms may include services such as Google, Meta, LinkedIn, YouTube, or other networks.

The client is responsible for providing sufficient advertising budget.

Finoptiz is not responsible for independent platform decisions such as:

  • Ad rejection
  • Account restrictions
  • Account suspension
  • Policy modifications
  • Algorithm changes
  • Rising advertising costs
  • Platform downtime
  • Reduced audience availability

We will manage campaigns according to the agreed scope, strategy, and available budget.

21. Social Media Management

Where we manage or create content for a client’s social media accounts, the client remains responsible for the accuracy and legality of claims relating to their business, products, services, prices, promotions, and offers.

Social networks control their own systems and policies.

They may change algorithms, restrict reach, remove content, suspend accounts, or introduce new rules at any time.

Finoptiz cannot guarantee a fixed level of organic reach, engagement, or follower growth.

22. Content and Creative Work

Finoptiz may create:

  • Website copy
  • Social media content
  • Advertisements
  • Graphics
  • Marketing copy
  • Videos
  • Scripts
  • Campaign materials
  • Other creative assets

Clients should review material before publication and ensure that all business information, claims, prices, offers, legal disclosures, and industry-specific statements are appropriate.

Unless expressly included as a professional service, content produced by Finoptiz should not be interpreted as legal, financial, medical, tax, or regulatory advice.

23. Video Production

Video and creative production may involve:

  • Ideation
  • Scriptwriting
  • Storyboards
  • Filming
  • Editing
  • Animation
  • Motion graphics
  • Sound editing
  • Voiceovers
  • Post-production

Additional production-related expenses may apply for:

  • Locations
  • Talent
  • Travel
  • Equipment
  • Stock footage
  • Music
  • Special licensing
  • Voice artists
  • External production resources

Once significant production resources have been committed or work has begun, associated amounts may become non-refundable, subject to applicable law and the relevant project agreement.

24. Intellectual Property Supplied by Clients

Clients continue to own materials they provide to Finoptiz.

By providing those materials, the client grants Finoptiz permission to use them only as required to complete the agreed project.

Clients must ensure they hold appropriate rights to all supplied materials.

These may include:

  • Logos
  • Images
  • Videos
  • Fonts
  • Music
  • Written content
  • Trademarks
  • Product photographs
  • Software
  • Customer information
  • Other third-party assets

Finoptiz is not responsible for claims resulting from materials provided by a client without proper authorization.

25. Finoptiz Intellectual Property

Unless expressly transferred through a written agreement, Finoptiz retains rights to its pre-existing or reusable materials.

These may include:

  • Internal processes
  • Development methods
  • Templates
  • Frameworks
  • Reusable components
  • General code libraries
  • Design systems
  • Workflows
  • Proprietary tools
  • Technical know-how

Use of such reusable elements within a project does not automatically transfer ownership of those underlying assets.

26. Ownership of Final Deliverables

Ownership of final deliverables will be determined by the relevant proposal or project agreement.

Where ownership is intended to transfer to the client, the transfer will normally take place only after all related invoices have been paid.

Materials licensed from third parties remain subject to the licence conditions of their original owners.

27. Portfolio Rights

Unless the client requests otherwise in writing or confidentiality restrictions apply, Finoptiz may showcase completed and publicly released work as part of its professional portfolio.

Examples may appear on:

  • The Finoptiz website
  • Case studies
  • Social media
  • Sales presentations
  • Proposals
  • Marketing materials
  • Award submissions

We may identify the client’s brand and provide a general description of the project.

Clients with confidentiality requirements should communicate them before publication.

28. Confidential Information

Finoptiz and its clients may exchange information that is not intended for public disclosure.

Examples include:

  • Business plans
  • Customer information
  • Login credentials
  • Internal documentation
  • Financial information
  • Campaign plans
  • Technical information
  • Unreleased creative work

Both parties should take reasonable steps to protect confidential information.

Confidentiality obligations do not normally apply to information that:

  • Is already publicly available
  • Was lawfully known beforehand
  • Is independently developed
  • Is legitimately received from another source
  • Must be disclosed by law

A separate NDA may be used where greater confidentiality protection is required.

29. Login Credentials and Account Access

Clients may provide Finoptiz with temporary or ongoing access to accounts required for project delivery.

These may include:

  • Websites
  • Hosting panels
  • Social media profiles
  • Advertising accounts
  • Analytics platforms
  • Email systems
  • CRM platforms

By providing access, the client authorizes Finoptiz to use the account only for the agreed project purposes.

Clients should follow good security practices and update passwords when appropriate after project completion.

30. Third-Party Website Links

Our website may contain links to other websites, social networks, tools, or services.

Finoptiz does not control external websites and is not responsible for their:

  • Content
  • Security
  • Privacy practices
  • Terms
  • Availability
  • Products
  • Services

Visiting an external website is done at the user’s discretion.

31. Accuracy of Website Content

We aim to keep information published on finoptiz.com useful and current.

However, website content may sometimes contain:

  • Typographical mistakes
  • Outdated descriptions
  • Technical errors
  • Incomplete information
  • Changes in service availability

Website information should therefore not be treated as a substitute for a project-specific quotation or agreement.

32. Client Cancellation

A client may request to cancel a project by contacting Finoptiz.

Amounts payable or refundable after cancellation will depend on factors including:

  • Work already completed
  • Time already invested
  • Resources reserved
  • Third-party expenses
  • Production commitments
  • Project stage
  • Applicable contract terms

Completed work and costs already incurred remain payable.

33. Suspension or Termination of Services

Finoptiz may pause or end a service where there is a reasonable business, legal, or security reason to do so.

This can include situations involving:

  • Unpaid invoices
  • Material breach of an agreement
  • Repeated lack of cooperation
  • Requests involving unlawful activity
  • Serious security concerns
  • Abusive or threatening behaviour
  • Misuse of our services
  • Legal or regulatory restrictions

Where practical, we will attempt to communicate the concern before taking action.

Termination does not remove payment obligations for work already completed or costs already committed.

34. Refund Considerations

Because many Finoptiz services are customized and require allocated team time, refunds are assessed according to the circumstances of the individual project.

Factors may include:

  • Work already completed
  • Project progress
  • Resources committed
  • External costs paid
  • Approved deliverables
  • Cancellation timing
  • Applicable agreement

Payments relating to work already completed or non-recoverable third-party costs may not be refundable.

Any statutory rights that cannot legally be excluded will remain unaffected.

35. Maintenance and Post-Delivery Support

Ongoing support is included only where it forms part of the agreed service.

Examples may include:

  • Website maintenance
  • Technical support
  • Content updates
  • Marketing management
  • Campaign optimization
  • Hosting management

Once an included support period ends, additional assistance may be provided under a new quotation, maintenance plan, or retainer.

36. Backups and Data

During active project development, Finoptiz may maintain working copies or backups where appropriate.

After final handover, the client should maintain independent backups of important assets such as:

  • Website files
  • Databases
  • Content
  • Design files
  • Marketing materials
  • Business data

Unless a maintenance or hosting agreement says otherwise, ongoing backup responsibility passes to the client after handover.

37. Service Disclaimer

Finoptiz aims to deliver services with reasonable skill, professional care, and attention.

However, digital services operate within environments that can change over time.

We therefore cannot promise that:

  • Every service will remain uninterrupted
  • Every website will operate without errors indefinitely
  • Third-party platforms will always be available
  • Marketing campaigns will achieve a particular result
  • Search engines will maintain particular rankings
  • Current software will remain compatible with future systems
  • External providers will maintain existing pricing or policies

Nothing in these Terms excludes warranties that cannot legally be excluded.

38. Limitation of Liability

To the maximum extent allowed by applicable law, Finoptiz will not be responsible for indirect or consequential losses that arise from the website or services.

These could include loss of:

  • Revenue
  • Profit
  • Business opportunities
  • Data
  • Customers
  • Advertising expenditure
  • Goodwill
  • Expected savings

We are also not responsible for losses primarily caused by:

  • Third-party platforms
  • Client-supplied information
  • Client-approved materials
  • External service outages
  • Unauthorized activity outside our reasonable control
  • Events beyond our control

Where liability cannot legally be excluded, it will be limited in accordance with applicable law and the relevant written agreement.

39. Client Responsibility for Third-Party Claims

To the extent permitted by law, a client may be responsible for claims or costs resulting from matters under the client’s control, including:

  • Unauthorized content supplied by the client
  • Intellectual property violations in client materials
  • False client-provided information
  • Unlawful business practices
  • Client misuse of completed work
  • Misleading claims approved by the client

This does not remove responsibility from Finoptiz for matters that legally remain our responsibility.

40. Events Beyond Reasonable Control

Finoptiz will not be treated as responsible for a delay caused by events outside reasonable operational control.

Such events may include:

  • Severe weather
  • Natural disasters
  • Fire
  • Flooding
  • Internet outages
  • Power failures
  • Government restrictions
  • Civil disruption
  • War
  • Major cybersecurity incidents
  • Third-party platform failures
  • Labour disruptions
  • Public health emergencies

Where possible, affected project schedules will be adjusted reasonably.

41. Privacy

Personal information collected through the Finoptiz website or during client communication is handled according to our Privacy Policy.

We encourage users and clients to review that policy to understand how personal information may be collected, used, and protected.

42. Changes to Our Services

Finoptiz may update, replace, improve, or discontinue general service offerings as the business evolves.

Such changes will not automatically modify an already confirmed client project unless agreed by both parties or required for legal, technical, or operational reasons.

43. Updates to These Terms

We may revise these Terms when our services, business practices, website, technology, or legal obligations change.

When updates are made, the latest version will be published on finoptiz.com with a revised effective date.

The updated version will apply from the date stated unless another effective date is specified.

44. Project Agreements Take Priority

If a client signs or approves a specific agreement, proposal, statement of work, or quotation that contains terms different from these general website Terms, the project-specific document will take priority for that particular engagement to the extent of the inconsistency.

45. Severability

If a court or competent authority determines that one part of these Terms is invalid or unenforceable, the remaining sections will continue to apply wherever legally possible.

46. Failure to Enforce a Right

If Finoptiz does not immediately enforce a provision of these Terms, that does not mean we permanently waive the right to enforce it later.

47. Governing Law

These Terms are governed by the applicable laws of India.

Any legal dispute relating to the website or Finoptiz services will be handled by the courts or other dispute-resolution process having lawful jurisdiction, unless a separate written agreement specifies another permitted arrangement.

Mandatory rights provided by applicable law remain unaffected.
